Delivery of Services
Services are provided according to the milestones and scope defined in the Agreement. We apply professional expertise and commercially reasonable efforts to meet agreed objectives.
Estimated timelines may depend on client cooperation and external factors.
Proposals and Scope Confirmation
Proposals remain valid for thirty (30) days unless stated otherwise. If not accepted within that timeframe, we may revise pricing or scope before resubmission.
Fees and Related Costs
Unless clearly included in the Agreement:
- Third-party costs are billed separately.
- Approved project-related expenses may be charged at cost.
- The client is responsible for applicable taxes associated with services.
Payment Terms
Invoices are due within five (5) days of issuance unless otherwise agreed in writing. Payment schedules may follow milestone arrangements defined in the Agreement.
Failure to make timely payment may result in suspension of services.
Project Modifications
All requests to change project scope must be submitted in writing.
Minor adjustments that do not significantly impact cost or timeline may be accommodated within the existing Agreement. Substantial changes affecting complexity, schedule, or pricing require a new or supplemental written agreement.
Revised proposals are typically open for acceptance for fourteen (14) working days.
Project Delays
If project progress is delayed due to incomplete client materials, late approvals, or other client-side issues, timelines may be extended on a day-for-day basis.
If delays arise on our side, we will notify the client promptly and work to address them.
Circumstances beyond reasonable control, including technical disruptions or force majeure events, are not considered a breach and may extend delivery timelines.
Review and Acceptance
Before submitting Deliverables, we conduct internal quality checks.
Clients have seven (7) working days to review delivered work and provide feedback. Reasonable revisions will be addressed within an agreed timeframe.
Client Obligations
Clients agree to:
- Provide lawful and accurate materials
- Ensure they have rights to use supplied content
- Review Deliverables thoroughly
- Provide timely approvals and decisions
Unless otherwise agreed, final proofreading and content accuracy remain the client’s responsibility.
Attribution and Portfolio Use
Unless explicitly restricted in writing, we may include a discreet accreditation reference within completed projects.
We may also reference completed work in our portfolio or marketing materials. Neither party should unreasonably restrict factual acknowledgment of collaboration.
Confidentiality
Both parties agree to maintain the confidentiality of non-public information. Confidential information does not include data that is publicly available or lawfully obtained from third parties.

Cloudsoftwareengineers.com operates as an independent contractor. Nothing in these Terms establishes a partnership, joint venture, employment relationship, or exclusivity unless expressly agreed in writing.
We may engage subcontractors while retaining overall responsibility for service delivery.
Limitation of Liability
To the extent permitted by applicable law, services are provided on an “as is” basis.
Our total liability for any claim related to services is limited to the amount paid for the specific services associated with the claim.
Ownership and Usage Rights
Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
Company Tools and reusable frameworks remain our property unless explicitly transferred in writing. Unauthorized resale or modification beyond agreed usage may be restricted.
Ongoing Support
Support or maintenance services are provided only if separately agreed in writing and may be billed accordingly.
Any warranty may become void if Deliverables are modified by third parties without authorization.
Changes to These Terms
We may revise these Terms and Conditions from time to time. The version posted on cloudsoftwareengineers.com will govern ongoing use. Continued use of the website or services indicates acceptance of updated terms.
